Clapmi Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Clapmi website, mobile application, and related services (“Platform”).

By creating an account, accessing, or using any part of the Platform, you agree to be bound by these Terms.

If you do not agree, do not use the Platform.

1. Definitions

For the purposes of these Terms:

  • “Clapmi” refers to Clapmi Inc., a Wyoming-registered entity operating under the name “Clapmi,” collectively referred to as “we,” “us,” or “our.”
  • “User” refers to any individual who accesses or uses the Platform. Users include:
    • Creators: Users who stream, upload, or publish content.
    • Fans: Users who view content, clap, gift, or interact with creators.
  • “Content” refers to any video, image, audio, text, or other materials uploaded or shared.
  • “Virtual Items” include claps, coins, gifts, Clap Points (CP), or other in-app items that may be purchased or earned.
  • “Combo” refers to an active head-to-head or multi-side competition between Creators, whether originating from a livestream challenge or a challenge against a text or video post. A Combo may be resolved by the applicable competition method disclosed on the Platform, which may include points, votes, judge decisions, or another supported method.
  • “Live Combo Challenge” refers to a challenge sent to a host during an active livestream that becomes a Combo when accepted.
  • “Post Challenge” refers to a challenge sent against an eligible text post that becomes a Combo when accepted.
  • “Combo Booster” refers to a flat, non-refundable payment in Clap Points sent by a challenger as an incentive to accept a Combo challenge.
  • “Top Backer” refers to the Fan or Fans with the highest total eligible gifting value on a particular side of a Combo, subject to the applicable threshold and tie rules.
  • “Clapmi Rewards Wallet” refers to the wallet that holds eligible rewards paid by Clapmi, including Top Backer rewards and loyalty rewards, until they are claimed into the Main CP Wallet.
  • “Main CP Wallet” refers to the wallet used for CP purchases, deposits, gifting, Combo Boosters, claimed rewards, and withdrawals through Clapmi’s applicable withdrawal process.
  • “Resolution” refers to the determination of a Combo’s result in accordance with the applicable competition method and rules. A Combo result may affect rank, badges, leaderboard placement, visibility, or other non-monetary benefits, but does not change the amount of money or CP earned from gifts, Top Backer rewards, or Combo Boosters.

2. Eligibility

You may use Clapmi only if:

  • You are at least 13 years old,
  • You have the legal capacity to enter a binding agreement,
  • You provide accurate and complete registration information, and
  • Your use complies with all applicable laws in your jurisdiction of residence.

Clapmi may refuse access or terminate accounts that violate these requirements.

2.1 Combo Participation and Rewards

By participating in a Combo, sending gifts, sending a Combo Booster, or receiving a Combo-related reward, you understand that:

  • A Combo is a creator competition and is not a prediction market, wagering activity, or mechanism for taking a financial position on an outcome.
  • No User is required to stake, wager, or commit CP on a predicted winner in order to participate in a Combo.
  • The result of a Combo does not determine or alter the amount of CP or other financial value that a User receives from eligible gifts, Top Backer rewards, or other applicable reward mechanisms.
  • Combo Boosters are final and non-refundable once sent and are not increased, reduced, returned, forfeited, or otherwise changed based on the result of a Combo.
  • Eligible rewards may be subject to applicable thresholds, anti-fraud review, dispute processes, and verification requirements.

3. Account Registration

When creating an account, you agree to:

  • Provide accurate and up-to-date information.
  • Maintain the confidentiality of your login credentials.
  • Accept responsibility for all activity occurring under your account.

Each User may hold only one account. Clapmi employs device identification and cross-references verification data to detect duplicate accounts. Duplicate accounts or accounts used to manipulate gifting, rewards, or Combo activity may be suspended pending investigation and may be permanently terminated, with CP and rewards subject to applicable enforcement or recovery processes.

Clapmi is not liable for unauthorized access resulting from your failure to secure your account.

4. Use of the Platform

You agree to use the Platform only for lawful and permitted purposes.

You must not:

  • Upload or stream harmful, abusive, pornographic, violent, or illegal content.
  • Engage in bullying, harassment, or hate speech.
  • Impersonate others or misrepresent your identity.
  • Tamper with or bypass security features.
  • Use automated tools (bots, scripts) without permission.
  • Exploit bugs or vulnerabilities for personal gain.

In connection with any Combo, you additionally must not:

  • Create or operate multiple accounts to manipulate gifts, Top Backer status, rewards, or Combo activity;
  • Coordinate with other Users, Creators, or third parties to manipulate gifting, results, rankings, or rewards;
  • Engage in self-gifting, fraudulent transactions, payment manipulation, or other conduct intended to artificially inflate gifting volume or rewards;
  • Engage in or facilitate result manipulation, match-fixing, or any interference with the integrity of a Combo, whether as a Creator, Fan, or third party.

Clapmi reserves the right to remove content and suspend accounts at its sole discretion.

5. Content Ownership and License

5.1 Your Ownership

You retain ownership of the content you upload or stream on Clapmi.

5.2 License You Grant to Clapmi

By using the Platform, you grant Clapmi a worldwide, non-exclusive, royalty-free, transferable license to:

  • Host, store, stream, display, reproduce, modify, and distribute your content for the purpose of operating, promoting, and improving the Platform.

This license ends when you delete your content, except:

  • Backup copies may remain temporarily,
  • Content shared publicly or with other users may remain accessible.

6. Virtual Items (Claps, Coins, Gifts and CP)

  • Virtual items may be purchased using real money or earned through participation or eligible reward programs.
  • Creators may receive earnings through gifts and other permitted Platform activities, subject to Clapmi’s applicable fee and payout policies.
  • During a Combo, eligible gifts are subject to the Combo fee structure in effect for that Combo. The applicable fee is determined independently of the Combo result.
  • Clapmi may modify virtual item pricing, rewards, or earning structures at any time, subject to applicable law and these Terms.
  • Gifts and Combo Boosters are final and non-refundable except where required by law or otherwise stated in these Terms or applicable policies.

7. Payments, Withdrawals, Earnings and Rewards

Creators may earn through:

  • Gifts,
  • Other permitted Platform activities,
  • Loyalty programs and other eligible reward programs.

Payment Requirements

To withdraw eligible funds through the Main CP Wallet or applicable withdrawal process, Users may be required to:

  • Provide accurate payment information,
  • Meet minimum withdrawal thresholds,
  • Complete verification requirements (KYC).

Processing

Payments are handled by secure third-party processors.

Clapmi is not responsible for delays caused by payment processors or banks.

Refund Policy

Purchases of virtual items are final and non-refundable unless mandated by law. Gifts and Combo Boosters are generally final and non-refundable. Eligible reward reversals and dispute handling are governed by Section 7A.

7A. Combo Competitions, Rewards and Status

7A.1 Overview

In addition to ordinary livestreaming and content activity, Clapmi offers Combo competitions between two Creators. A Combo may originate from a Live Combo Challenge or a Post Challenge, subject to the relevant creator and content eligibility settings.

Combos separate financial activity from competition results. Gifts and other financial mechanics are processed under the applicable Combo rules and do not change based on which Creator or side wins. The result of a Combo may affect only applicable non-monetary benefits such as rank, badges, leaderboard placement, visibility, seeding, or other status-based perks.

7A.2 Combo Gifting and Fees

During a Combo, gifts sent to a Creator or side are subject to the applicable flat Combo platform fee disclosed on the Platform.

The Combo fee is fixed before or during the Combo in accordance with the applicable rules and does not change based on:

  • A Creator’s subscription tier;
  • Which side wins or loses;
  • The amount gifted;
  • The method used to determine the Combo result; or
  • Whether the Combo originated from a Live Combo Challenge or a Post Challenge.

7A.3 Top Backer Rewards

A Combo may provide an eligible Top Backer reward for each side independently. The Top Backer is determined by the highest total eligible gift value sent to that side during the Combo.

Under the current model:

  • A side must receive at least 500 CP in eligible Combo gifts before a Top Backer reward is triggered for that side.
  • The reward for an eligible side is calculated from that side’s own platform fee.
  • The current Top Backer reward rate is 30% of that side’s applicable platform fee.
  • Fees or rewards are not pooled across competing sides before calculating Top Backer rewards.
  • The reward is not increased, reduced, or otherwise affected by which side wins.
  • Where two or more Fans tie for the highest eligible gift value on the same side, the applicable reward is split equally among the tied Fans.

Clapmi may modify future reward parameters, including thresholds or reward rates, in accordance with these Terms and applicable law.

7A.4 Clapmi Rewards Wallet and Claiming Rewards

Eligible Top Backer rewards and loyalty rewards are credited to the Clapmi Rewards Wallet as unclaimed rewards. The Clapmi Rewards Wallet does not provide a direct withdrawal function.

A User may claim an eligible reward into the Main CP Wallet. Once successfully claimed, the reward becomes part of the User’s Main CP Wallet balance and is subject to the applicable rules, verification requirements, and withdrawal processes for that wallet.

Reward entries may be identified by source, including Top Backer rewards and loyalty rewards, and may include information linking the reward to the relevant Combo where applicable.

7A.5 Loyalty Program

Clapmi may operate loyalty or cumulative-volume reward programs for Fans and Creators. Eligibility and reward amounts may be based on cumulative eligible activity or other disclosed criteria.

Loyalty rewards are separate from Combo results. A User does not earn a larger or faster loyalty reward because a Creator or side they supported won a Combo.

7A.6 Combo Booster

A challenger may send a Combo Booster in Clap Points when issuing a Live Combo Challenge or Post Challenge.

If the challenge is accepted, the applicable Creator receives the Booster amount less the applicable flat Combo fee. A Combo Booster is final and non-refundable and is not affected by a Combo result, including a win, loss, tie, no contest, early termination, disconnection, or moderation action.

7A.7 Combo Resolution and Status

Each Combo is resolved using the applicable competition method disclosed or made available through the Platform, which may include points, votes, judge decisions, or another supported method.

A Combo result may determine a winner and may affect non-monetary status benefits. The result does not alter:

  • Creator earnings from gifts already received under the applicable fee rules;
  • Top Backer rewards calculated from the applicable side’s own eligible activity;
  • Loyalty rewards; or
  • Combo Booster treatment.

Where a Combo ends in a tie, no contest, early termination, technical interruption, moderation action, or another edge case, Clapmi may apply the relevant status outcome or determine that no winner is declared. Financial treatment of gifts and eligible rewards will remain subject to the applicable Combo rules and will not be changed solely because of the result.

7A.8 Disputes and Reward Reversals

Users may submit a dispute relating to a Combo result, reward, or related transaction through Clapmi support within seven (7) calendar days of the relevant event, unless a different period is stated in an applicable policy.

Clapmi may review objective evidence and Platform records and may correct an error where appropriate.

Where a gift or underlying payment is subsequently refunded, charged back, or determined to be fraudulent, Clapmi may reverse an associated reward while that reward remains unclaimed in the Clapmi Rewards Wallet. Once a reward has been claimed into the Main CP Wallet, the matter may be handled through the applicable Main CP Wallet dispute and recovery process.

7A.9 Combo Integrity and Enforcement

Clapmi monitors Combo activity for patterns consistent with manipulation, collusion, multi-accounting, self-gifting, payment fraud, or other abuse.

Where prohibited conduct is identified or reasonably suspected, Clapmi may:

  • (a) freeze or restrict affected accounts or rewards pending review;
  • (b) conduct an internal review of the relevant activity and supporting evidence;
  • (c) release restrictions where no prohibited conduct is established;
  • (d) suspend or terminate accounts where prohibited conduct is established; and
  • (e) reverse or recover rewards or other amounts obtained through prohibited conduct, subject to applicable law and relevant policies.

Clapmi may report suspected prohibited conduct to relevant law enforcement or regulatory authorities and cooperate with any resulting investigation.

7A.10 Creator and Content Eligibility

Not all livestreams or posts are eligible for Combo challenges.

Creators may control whether they accept Live Combo Challenges through the applicable livestream setting. Posts may separately be marked as challengeable or non-challengeable through the applicable post-level setting. These settings are independent.

Where content is not eligible for a Combo:

  • A Combo challenge cannot be sent or accepted through that content;
  • The content remains subject to the applicable non-Combo gifting and fee rules;
  • Top Backer Combo rewards do not apply unless the content enters an eligible Combo; and
  • Platform-wide loyalty programs may continue to apply according to their own rules.

7A.11 Verification and Withdrawals

Before withdrawing eligible funds or where otherwise required under applicable law or Platform policy, you may be required to complete identity verification (KYC) or other compliance checks. Claimed rewards transferred to the Main CP Wallet are subject to the applicable Main CP Wallet withdrawal and verification process.

8. Prohibited Content and Conduct

The following are strictly prohibited:

  • Nudity, sexually explicit content, or sexual acts
  • Violence, self-harm, or dangerous acts
  • Hate speech, discriminatory remarks, or violent threats
  • Fraud, scams, phishing, or impersonation
  • Unauthorized commercial activities
  • Streaming copyrighted material without permission

Violations relating to Combo integrity are additionally subject to the enforcement measures described in Section 7A.9.

Violation may result in content removal, account suspension, or permanent ban.

9. Intellectual Property

All intellectual property relating to the Platform, including software, design, branding, and trademarks is owned by Clapmi. Users may not reproduce, copy, or distribute any part of the Platform without permission.

10. Termination

Clapmi may suspend or terminate your account:

  • For violating these Terms,
  • For suspicious or harmful activity,
  • For non-compliance with legal requirements,
  • Or at your request.

Upon termination, you may lose access to virtual items, earnings, rewards, and content stored on your account, subject to applicable law and any applicable dispute or recovery process.

11. Third-Party Services

Clapmi integrates services such as payment processors, analytics tools, and login providers. Combo results may also rely on Platform or third-party data sources where applicable.

Your use of these third-party services may be subject to their own terms and privacy policies. Clapmi is not responsible for third-party actions.

12. Limitation of Liability

To the fullest extent permitted by law:

  • Clapmi is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or anticipated rewards or earnings, even if advised of the possibility of such damages.
  • Clapmi is not responsible for user-generated content.
  • Use of the Platform is provided on an “as is” and “as available” basis.
  • Clapmi is not liable for losses arising from the failure, inaccuracy, delay, or unavailability of third-party or Platform data used to determine a Combo result, except as otherwise required by applicable law or expressly stated in these Terms.
  • Clapmi is not liable for losses arising from a User’s failure to complete required identity verification.
  • You assume the ordinary risks associated with using live-streaming and interactive features.

13. Indemnification

You agree to indemnify and hold harmless Clapmi, its employees, partners, and affiliates from:

  • claims,
  • damages,
  • liabilities,
  • losses, or
  • expenses

arising from your misuse of the Platform or violation of these Terms.

14. Changes to the Terms

Clapmi reserves the right to update these Terms at any time, including its Combo rules, reward structures, and eligibility requirements.

Updated versions will be posted with a revised “Last Updated” date. Continued use of the Platform, or continued participation in Combo, after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules, except that matters specifically relating to the corporate existence and internal governance of Clapmi Inc. are governed by the laws of the State of Wyoming, United States.

Disputes shall be resolved in accordance with Nigerian legal procedures, subject to any applicable dispute process set out in these Terms.
